General terms and conditions

1. Applicability

These general terms and conditions apply to all assignments involving the secondment of staff by Stoneworx, unless explicitly agreed otherwise in writing. The client’s own purchasing or general terms and conditions do not apply.

2. Secondment scope

Stoneworx provides professionals on a temporary basis to the client. These professionals remain employed by Stoneworx and are not employees of the client.

The client may not hire or engage the professional directly or indirectly (for example via third parties) without Stoneworx’s prior written consent.
Stoneworx retains the right to replace a seconded professional with another of similar qualifications, if necessary.
Professionals perform their duties under the client’s day-to-day direction, but employment responsibility and contractual obligations remain with Stoneworx.
Any deviations from the agreed scope of work must be coordinated with and approved by Stoneworx.

3. Duration and termination

The secondment agreement runs for a fixed period or specific project duration, as defined in the agreement.
Extensions are possible by mutual written agreement.
Early termination is not allowed unless explicitly agreed upon in writing.

In the event of early termination not in accordance with the agreement, Stoneworx reserves the right to charge the full remaining term.

4. Recruitment restriction

The client is not allowed to hire or contract any Stoneworx professionals, directly or via third parties, for a period of 12 months after the end of their assignment.
If this restriction is breached, a penalty of EUR 5,000 per day per professional applies, without prejudice to any further damages.

5. Fees and payment terms

All fees and hourly rates are exclusive of VAT.
Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
If payment is delayed, Stoneworx may charge statutory interest and reasonable collection costs.
Invoicing is based on time and materials, unless a fixed price or alternative model is explicitly agreed.

6. Confidentiality

Both parties shall treat all confidential information obtained during the collaboration as strictly confidential and shall not disclose or use it for any purpose other than the execution of the assignment.

This obligation continues for two years after the end of the agreement.

7. Liability

Stoneworx is only liable for direct damages caused by its professionals, up to the amount paid by the client for the assignment, with an absolute maximum of EUR 500,000.
Stoneworx is not liable for indirect or consequential damages, such as loss of profit, missed opportunities, or data loss.

8. Termination for cause

Either party may terminate the agreement with immediate effect in the event of bankruptcy, suspension of payment, or liquidation of the other party.

In such a case, services already delivered will be invoiced proportionally.
